The laws of the State of New York applicable to contracts made and entirely to be performed within such state shall govern these Terms of Use.  You hereby consent to the exclusive jurisdiction and venue of state and federal courts located in the County of New York in all disputes arising out of or relating to the use of this Web Site.  This Web Site is operated by SCN from the United States of America.

SCN may assign these terms of Use, in whole or in part, in its sole discretion.  You may not assign any rights or delegate any responsibilities under these Terms of Use without the prior written permission of SCN.  Any attempt by you to assign your rights or delegate your responsibilities under these Terms of Use without the prior written permission of SCN shall be null and void ab initio.
